The plot of the movie is based on the original script of Jayant Pawar, which highlights the consequences of the atrocities towards the mill workers, totally ignored by the Government. The film is a story of a family of mill workers in Mumbai. It traces the birth of the politics of greed in Mumbai and exposes the collusion between the triumvirate of big business, the political establishment and the trade union leaders who ostensibly were charged with protecting the rights of the mill workers. In the two decades that followed, the entire landscape of Central Bombay was changed forever. Land became the currency of growth, and this began the systematic extinction of mills in Bombay. In a matter of just a few years, hundreds of thousands of workers lost their means of livelihood. Having worked in these mills from generation to generation, this was the only vocation that they knew.

Hathyar is a narrative which probes into the household of Raghunath (Sanjay Dutt), a dreaded gangster. His bereaved son Rohit (Sanjay Dutt) has to face a lot of flak from the outside world, repeatedly reminding him of the stigma attached to his family because of his father's past. Just like his father, circumstances force Rohit to become a gangster and he gets the name Boxer Bhai. Rohit snatches her out of this abusive relationshisp and remarries her. But Rohit's problems are far from over. After acquiring the possession of the company owned by Vishwanath Sharma (Anant Mahadevan) using trickery, Madan Chopra (Dalip Tahil) dismisses Vishwanath from the company to exact a revenge on the latter, leaving the Sharma household to undergo distress and illness which claims the lives of Vishwanath and his little daughter. A spell of lasting grief casts over Vishwanath's wife (Rakhee Gulzar), while his son Ajay (Shah Rukh Khan) determines to take vengeance on Madan for his family's tragedy. 15 years later, a grown-up Ajay courts Seema (Shilpa Shetty), one of Madan's two daughters, while dating Priya (Kajol), the other daughter with a false individuality named Vicky Malhotra, keeping everyone ignorant of his dual-identity. The scary part of the film starts now, when a vindictive Ajay pushes Seema from a building to death making it, to all appearances, look like a suicide while Priya, with a strong belief of Seema's death to be a murder, determines to find out the killer with the help of her friend Inspector Karan (Siddharth Ray).
